1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Breakout Scanner platform (the “Service”), operated by AKP Ventures Ltd, a company registered in England and Wales under company number 15968817 (referred to herein as “we”, “us”, or “the Company”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of the Terms, you must not access or use the Service.

2. Not Financial Advice

The Service is provided for general informational and educational purposes only. Nothing contained in or provided through the Service constitutes, or is intended to constitute, financial advice, investment advice, trading advice, or any other form of advice.

The signals, scores, metrics, screener results, backtest outputs, and any other data or analysis presented through the Service (collectively, “Content”) are generated by automated algorithms and are provided on an “as is” basis. The Content does not take into account your individual financial circumstances, investment objectives, risk tolerance, or needs.

You acknowledge and agree that:

• The Content should not be construed as a recommendation to buy, sell, or hold any security, financial product, or instrument.
• Past performance, including backtested results, is not indicative of future results.
• Backtested performance results have inherent limitations, including survivorship bias, look-ahead bias, and the fact that they do not represent actual trading.
• Any investment decisions you make are entirely at your own risk and discretion.
• You should seek independent professional financial advice before making any investment decisions.
• We do not hold ourselves out as, and are not, authorised or regulated by the Financial Conduct Authority (FCA) or any other financial regulatory authority to provide investment advice.

3. Information Purposes Only

The Service is provided strictly for informational purposes. We make no representation or warranty, whether express or implied, as to the accuracy, completeness, reliability, timeliness, or suitability of the Content for any particular purpose. Market data, stock prices, and other financial information displayed through the Service may be delayed, inaccurate, or incomplete.

We shall not be liable for any losses, damages, costs, or expenses (whether direct, indirect, consequential, or otherwise) arising from or in connection with your use of, or reliance upon, any Content provided through the Service.

4. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

5. Account Registration

6. Subscription and Payment

Access to the Service requires a paid subscription. By subscribing, you agree to pay the fees set out at the time of purchase. Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date.

All fees are stated inclusive of applicable taxes unless otherwise specified. We reserve the right to modify subscription fees upon reasonable notice. Continued use of the Service following a fee change constitutes acceptance of the new fees.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that date.

Refunds are provided in accordance with our refund policy and applicable consumer protection legislation, including the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, where applicable.

8. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, algorithms, design, text, graphics, logos, and trademarks, are owned by or licensed to AKP Ventures Ltd. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

You shall not reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, or otherwise exploit any part of the Service without our prior written consent.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
• Use automated means (including bots, scrapers, or crawlers) to access the Service or extract data without our express written permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Share, redistribute, or resell access to the Service or any Content obtained through it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AKP Ventures Ltd, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability to you in respect of all claims arising out of or in connection with these Terms or your use of the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

12. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

13. Indemnification

You agree to indemnify, defend, and hold harmless AKP Ventures Ltd, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with your use of the Service, your breach of these Terms, or your violation of any applicable law or regulation.

14. Suspension and Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to where we reasonably believe you have breached these Terms. Upon termination, your right to use the Service will immediately cease.

15. Amendments

We reserve the right to amend these Terms at any time. Material changes will be notified to you by email or by posting a notice on the Service. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AKP Ventures Ltd in relation to your use of the Service and supersede all prior agreements, understandings, and arrangements, whether written or oral.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
